Terms of Service for Axess Mobility

Welcome to Axess.xyz. These Terms of Service (“Terms”) govern your access to and use of the website, software, and physical infrastructure, including our AV Hubs and fleet assets (collectively, the “Services”), provided by Axess Mobility Inc. (“Axess,” “we,” “us,” or “our”).
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.
1. Eligibility
You must be at least 18 years of age to use our Services. By using the Services, you represent and warrant that you have the right, authority, and capacity to enter into these Terms and to abide by all of its provisions.
2. Use of the Services
2.1 Permitted Use. The Services are provided to share information regarding our autonomous vehicle infrastructure, AV hubs, and fleet management solutions. You may use the Services only for lawful purposes and in accordance with these Terms
2.2 Prohibited Conduct. You agree not to:
Use the Services in any way that violates applicable laws or regulations.
Engage in any "scraping," "crawling," or "spidering" of the Services.
Attempt to interfere with the proper working of the Services or bypass any measures we use to prevent or restrict access.
Reverse engineer, decompile, or disassemble any portion of the Services or proprietary technology related to our AV hubs or orchestration software.
3. Intellectual Property
3.1 Ownership. All content, features, and functionality on the Services—including but not limited to text, graphics, logos (including the Axess logo), hub designs, and software—are the exclusive property of Axess Mobility Inc. or its licensors and are protected by copyright, trademark, and other intellectual property laws.
3.2 Trademarks. “Axess" and all related names and logos are trademarks of Axess. You may not use such marks without our prior written permission.
4. Partner Ecosystem and Third-Party Links
Our Services may highlight partnerships (e.g., NVIDIA Inception) or provide links to third-party websites. Axess does not endorse or assume any responsibility for any such third-party sites, information, materials, or services. Your interactions with third-party partners are solely between you and the third party.
5. Disclaimers and Forward-Looking Statements
5.1 "As-Is" Basis. The Services and all information provided on Axess.xyz are provided on an "as-is" and "as-available" basis without warranties of any kind, either express or implied.
5.2 Forward-Looking Statements. The Services may contain forward-looking statements regarding future AV hub locations (e.g., AXESS: MIA), estimated fleet sizes, and projected energy capabilities (MW). These statements are based on current expectations and are subject to risks and uncertainties. Actual results may differ materially. Axess undertakes no obligation to update these statements.
5.3 No Operational Guarantee. Descriptions of "autonomy orchestration" or "automated cleaning" represent planned capabilities and do not constitute a guarantee of service performance or safety in any specific jurisdiction.
6: Sustainability & Environmental Reporting
Any environmental metrics provided on the site—such as megawatt (MW) capacity, solar generation, or carbon offset projections—are for informational purposes. While derived from reliable sources, Axess makes no guarantee as to the absolute accuracy of these metrics for any specific billing or regulatory period.
7. Limitation of Liability
To the maximum extent permitted by law, Axess Mobility Inc., its officers, and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Services, even if we have been advised of the possibility of such damages.
8. Indemnification
You agree to defend, indemnify, and hold harmless Axess and its affiliates from and against any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of your use of the Services or your violation of these Terms.
9. Governing Law and Dispute Resolution
9.1 Governing Law. These Terms are governed by the laws of the State of Florida, without regard to its conflict of law principles.
9.2 Arbitration. Any dispute arising out of or relating to these Terms shall be settled by binding arbitration in Miami, Florida, in accordance with the rules of the American Arbitration Association (AAA). You waive your right to a jury trial or to participate in a class action.
10. Changes to Terms
We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them. Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes.
